Pierrepont Therapeutics Privacy Policy
Introduction
This
Privacy Policy (the “Policy”) describes the type of information that Pierrepont Therapeutics (the “Company,” “we” or “us”) gathers from users of the Pierrepont Therapeutics website, pierreponttx.com (the “Pierrepont Site”), as well as the
MNGIE website, MNGIE.com (the “MNGIE Site”) (the Pierrepont Site and the MNGIE
Site together, the “Sites”) and how we use that information. The Pierrepont Site is intended to provide
visitors with information about Pierrepont Therapeutics and, in particular, its
development of intracellular biologics. The MNGIE Site, which is administered by Pierrepont Therapeutics, is intended to provide
visitors with information about mitochondrial neurogastrointestinal
encephalomyopathy (“MNGIE”).
What Information Does the Company Collect?
We occasionally
collect Personal Information and other information from individuals who use and
visit the Sites (“you” or “Users”). “Personal
Information” means information that can be used to identify an individual.
Consent
and Modification
By
using the Sites, you consent to the terms of this Policy and to our processing
of Personal Information in the manner and for the purposes set forth in this Policy. If you do not agree with this Policy, please
do not use the Sites.
We reserve
the right, at our sole discretion, to change this Policy at any time, and any
such change will be effective seven days following posting of the revision to this
Policy on the Sites. Your continued use
of the Sites seven days following such posting means that you accept those
changes.
If we make
any change in how we use Personal Information, we will notify you by means of a
notice on the Site prior to the change becoming effective.
Information
We Collect and Use
We
collect and use information in the following ways:
- Information Provided Directly -- We may collect
information that Users provide directly as part of sending us communications
and questions. When a User contacts us,
we collect the User’s name and email address, in addition to any Personal Information
communicated by the User in the body of the User’s communication.
- The MNGIE Site also
contains a contact form that Users who have questions or wish to learn more
about MNGIE can use in order to contact us. The contact form collects Personal Information such as a User’s name,
email address, zipcode, and country of residence. This contact form is available to any User
that wants to learn more about MNGIE, who is a caregiver of a person diagnosed
with MNGIE, or who is a healthcare professional. We use information
provided directly in order to communicate with Users of the Sites and to
fulfill requests from Users of the Sites.
- Cookies -- We may use cookies and similar technologies, such as web beacons, pixels, and clear gifs and third-party analytics services, such as Google Analytics, to collect and analyze information about Users. This may include information about Users’ search preferences and location. We use information collected from cookies in order to improve the functionality of the Sites by, for example, preventing Users from having to enter information multiple times.
- Log Files -- The Site automatically records certain log file information, such as IP address, location, mobile carrier, device, and interaction with links in the Site. We use information collected from log files in order to improve the functionality of the Sites.
- Metadata -- Metadata is technical information associated with user information, such as how or when information was collected.
We use information collected from metadata in order to improve the functionality of the Sites.
Bases for Processing
Our legal basis to
process information collected through the Sites is our legitimate business
interest in communicating with potential business partners and other interested
individuals, both by making information available on the Sites and by
responding to questions and comments from Users. In certain cases, where we obtain User consent
to processing of information, such consent serves as the legal basis for
processing.
How Do We Share Information that We Collect?
We will not share
your Personal Information except as provided for by this Policy. We do not use Personal Information for
building user profiles for commercial purposes not related to the provision of
the Sites.
- Affiliates -- We may share information
collected by the Site with businesses that are legally part of the same group
as the Company, or that become part of that group (“Affiliates”).
- Third-Party Service Providers -- We may use
contractors (“Service Providers”) to perform limited services on our behalf,
such as hosting websites and providing email services. Service Providers are required to obtain only
the Personal Information they need to deliver the service, to maintain the
confidentiality of Personal Information, and not to use Personal Information
for any purpose other than provision of the service.
- Compliance with Law and Prevention of Harm

Users residing in the
European Union and California have the following rights, which you may exercise

- You have the right to request an accounting of
all Personal Information that we have that pertains to you, and to be delivered
copies of such information in electronic format (e.g., electronic copies of
information attached to an email). We reserve
the right to transmit information to you in a manner that complies with all
applicable laws.
- You have the right to request that we change any
Personal Information that pertains to you that is inaccurate.
- You have the right to request that we delete
some or all Personal Information that pertains to you. We reserve the right to carry out such a
request in a manner that complies with all applicable laws, such as laws
concerning record retention. Note that
fulfilling this request requires us to delete Personal Information in our
possession, but that this right does not extend to Personal Information that
has already been lawfully shared in accordance with this Policy.
- You have the right to request that we cease
processing any Personal Information that pertains to you. Note that fulfilling this request requires us
to cease processing Personal Information that pertains to you in the future,
but does not apply to lawful processing that has already occurred in accordance
with this Policy.
- You have the right to exercise all the rights
afforded by this Policy without fear of retaliation or discrimination. This means that we treat Users who exercise
any of the rights under this Policy the same as Users who do not.
Residents of the
European Union who have a complaint about our conduct with respect to Personal
Information and/or this Policy have the right to communicate such complaint to
a relevant national Data Protection Authority. Each European Union member state has its own Data Protection Authority,

Other Information
- Business Transitions -- If the Company is
acquired by or merged with a third-party entity, or if it is subject to a
bankruptcy or any comparable event, we reserve the right to transfer or assign
Personal Information in connection therewith.
- Security and Retention -- We follow generally
accepted industry standards, including the use of appropriate administrative,
physical and technical safeguards, to protect Personal Information. The appropriate administrative, physical, and
technical safeguards employed by us may vary depending on the nature of
Personal Information collected, with more stringent measures applied to
information of a sensitive nature (such as any information related to the
health condition of an identifiable individual).
However,
no method of transmission over the Internet, or method of electronic storage,
is entirely secure. Therefore, while we strive
to use commercially reasonable means to protect Personal Information, we cannot
guarantee its absolute security or confidentiality. Please be aware that certain Personal
Information and other information provided by you in connection with your use
of the Site may be stored on your device (even if that information is not
collected by us). You are solely
responsible for maintaining the security of your device from unauthorized
access.
Personal
Information will be retained for as long as is reasonably necessary to achieve
the purposes set forth in this Policy, and to comply with all applicable laws.
- International Users -- The Company and its
servers are located in the United States and are subject to applicable local,
state, and federal laws. Users who
choose to access the Site do so on their own initiative and at their own risk,
and are responsible for complying with all applicable laws, rules and
regulations. Users who choose to access
the Site consent to the use and disclosure of information in accordance with
this Policy and subject to such laws. We
may limit the Site’s availability, in whole or in part, to any person,
geographic area or jurisdiction we choose, at any time and in our sole
discretion. We do not represent or
warrant that the Site, or any part thereof, is appropriate or available for use
in any other jurisdiction.
As to
residents of the EU, this means that, if you choose to use the Sites and/or to
communicate with us through the Sites, information about you – including
Personal Information – will be transmitted outside of the EU to the United
States. The European Commission has the
authority, pursuant to Article 45 of the GDPR, to determine that the laws of
states outside of the EU provide residents of the EU with an adequate level of
data protection similar to that of the GDPR. Please note that, to date, the European Commission has not determined
that the federal and state laws of the United States provide EU residents with
an adequate level of data protection.
- Children’s Privacy -- The Site is neither
directed to nor structured to attract Users under the age of 18. If you are under the age of 18, you are not
permitted to use the Site. The Company
does not knowingly collect Personal Information from users under the age of 18. If you are a parent with concerns about
children’s privacy issues in conjunction with the use of the Site, please

- Do Not Track Signals and Collection of
Information for Third-Party Advertising -- The Company is required to disclose how it responds to “Do Not Track Signals” and whether third parties collect personally identifiable information about users when they use online services. The Company does not honor "do not track" signals and may continue to use cookies regardless of the presence of such a signal.
